OpenAI has completed a significant recapitalization, restructuring as a nonprofit with a controlling stake in its for-profit arm, now named OpenAI Group PBC. The OpenAI Foundation, formerly the nonprofit, holds a 26% equity stake in the for-profit, valued at approximately $130 billion. Microsoft, a long-time investor, supports this new structure and holds an investment valued at $135 billion, representing about 27% of the company. This move solidifies OpenAI’s nonprofit status while allowing its for-profit arm to operate as a public benefit corporation. The OpenAI Foundation will allocate an initial $25 billion to accelerate health breakthroughs and AI resilience. As part of the revised partnership, OpenAI has agreed to purchase an additional $250 billion in Azure services from Microsoft, though Microsoft’s exclusive compute provider rights have ended. Any claims of achieving Artificial General Intelligence (AGI) by OpenAI will require verification by an independent expert panel. Microsoft can now pursue AGI independently or with third parties, and OpenAI can collaborate with others on certain products. OpenAI remains Microsoft’s frontier model partner, with extended IP rights through 2032, excluding OpenAI’s consumer hardware. This new chapter aims to foster product development and create opportunities for businesses and individuals.
